1. Agreement to Terms

These Terms of Service ("Terms" or "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Northwest Barricade & Signs LLC ("NWBS," "we," "us," or "our"). This Agreement governs your access to and use of our website (nwbarricade.com), including our online safety apparel store, certified flagger class registrations, commercial credit applications, equipment quote tools, and associated services.

By accessing, browsing, registering an account, or placing an order through this website, you confirm that you are at least 18 years of age, legally authorized to enter into this Agreement (including on behalf of any entity you represent), and agree to be bound by these Terms and our Privacy Policy. If you do not agree to all terms, you must discontinue use of the website immediately.

2. Account Registration & Security

Certain features of our website, including purchasing safety apparel and enrolling in certified flagger courses, require registering an account. You agree to provide accurate, current, and complete information during registration and to keep your profile updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify Northwest Barricade & Signs immediately of any unauthorized use or security breach.

Northwest Barricade & Signs reserves the right to suspend, terminate, or refuse service to any account, cancel orders, or revoke access in our sole discretion if we suspect fraud, abusive conduct, or violation of these Terms.

3. Online Store & Order Acceptance

• Order Minimum: A merchandise subtotal minimum of $100.00 is required for online store checkout.
• Order Acceptance & Fulfillment: An order confirmation email does not signify our final acceptance of your order, nor does it constitute an offer to sell. Orders enter automated fulfillment immediately upon placement and cannot be modified or canceled once submitted. We reserve the right at any time after receipt of your order to accept, decline, or limit order quantities for any reason.
• Physical Address Requirement: Safety apparel and equipment orders ship via standard commercial carriers and must be delivered to a verifiable physical street address. We cannot ship safety apparel or physical freight to P.O. boxes.

4. Pricing & Typographical Errors

All prices displayed on the website are in U.S. Dollars (USD) and are subject to change without notice. In the event a product, rental item, or training course is listed at an incorrect price or with incorrect specifications due to a typographical error, technical glitch, or supplier misquote, Northwest Barricade & Signs expressly reserves the right to refuse or cancel any orders placed for that item, regardless of whether the order has been confirmed or your payment processed. If your payment method has already been charged, we will promptly issue a full refund to the original payment method.

5. Payment & Commercial Credit Terms

Full payment is required at checkout for online apparel orders and flagger training registrations via our authorized third-party payment gateways.

Commercial Net-30 Accounts: Corporate clients and public contractors may apply for commercial trade credit by submitting a formal credit application. If approved, invoices are due Net 30 from the invoice date unless otherwise specified in writing. Unpaid balances past due are subject to interest charges, late fees, and collection expenses.

In the event any past-due balance is referred to a collection agency or legal counsel for enforcement or mechanics’ lien foreclosure, the customer agrees to pay all reasonable collection costs, court costs, title search fees, and actual attorney’s fees.

6. Sales Tax & Tax-Exempt Status

Applicable state and local retail sales taxes are calculated and collected automatically at checkout based on the delivery destination. In accordance with Washington State Department of Revenue rules, shipping and delivery charges are also subject to applicable retail sales tax.

Tax Exemption / Reseller Permits: Entities holding a valid Washington State Reseller Permit or government tax-exemption certificate must submit verifiable documentation to estimating@nwbarricade.com prior to placing an online order so their customer account can be configured for tax-exempt purchasing. Sales taxes collected on orders placed before account verification cannot be refunded retroactively.

7. Shipping, Title & Risk of Loss

All physical merchandise purchases are made pursuant to a shipment contract. Title and risk of loss for all items pass to the purchaser upon our delivery of the merchandise to the commercial carrier (e.g., UPS, FedEx, or freight hauler).

Northwest Barricade & Signs is not liable for carrier delivery delays, weather disruptions, or lost or damaged shipments once in carrier custody; however, our team will assist customers in initiating carrier claims and tracking investigations.

Returns: Apparel returns are accepted within 30 days of delivery for unworn, unwashed items in original packaging with tags intact, subject to a prior Return Merchandise Authorization (RMA). Unless an item is received damaged or defective, the customer is responsible for return shipping costs.

8. Equipment Rentals & Traffic Services

Traffic control equipment rentals (including barricades, reader boards, message trailers, crash attenuator trucks, and temporary signage), traffic control plans (TCP), and certified flagging crews are subject to individual written master service agreements, rental agreements, and dispatch authorizations.

Contractors and renters are solely responsible for all equipment in their possession from delivery or warehouse pickup until returned. Any lost, stolen, or damaged rental equipment will be billed at full replacement value.

9. Flagger Certification & Training Classes

Flagger training courses require full, punctual, in-person attendance and successful completion of state-mandated written and practical examinations in accordance with Washington State Department of Transportation (WSDOT) and certifying body standards.

Registration fees must be paid prior to class entry. Cancellations, transfers, and rescheduling requests are subject to our stated course deadlines. Failure to attend or arrive on time results in forfeiture of registration fees without refund.

10. Product Safety, ANSI Compliance & Warranty Disclaimer

High-visibility safety apparel, traffic signs, and safety equipment sold through our catalog are manufactured to meet published industry standards (such as ANSI/ISEA 107 and MUTCD specifications) as indicated in product specifications. Northwest Barricade & Signs acts as an authorized distributor; applicable original manufacturer warranties (including manufacturer material defect warranties) pass directly to the purchaser.

NORTHWEST BARRICADE & SIGNS MAKES NO WARRANTY, GUARANTEE, OR REPRESENTATION THAT ANY SAFETY APPAREL, SIGNAGE, OR TRAFFIC DEVICE WILL PREVENT ACCIDENT, INJURY, PROPERTY DAMAGE, OR DEATH.

Purchasers, contractors, and employers bear the sole legal responsibility for determining that selected safety equipment, high-visibility ratings, and traffic control devices comply with their specific jobsite safety requirements, contractual specifications, and governing regulatory standards (including OSHA, WISHA, and MUTCD regulations).

TO THE FULLEST EXTENT PERMISSIBLE BY LAW, NORTHWEST BARRICADE & SIGNS EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND TITLE.

11. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL NORTHWEST BARRICADE & SIGNS LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, WORK STOPPAGE, ACCIDENT COSTS, OR REGULATORY FINES) ARISING OUT OF OR IN CONNECTION WITH THE USE OF OUR WEBSITE, SERVICES, OR PRODUCTS SOLD.

IN ALL EVENTS, THE TOTAL AGGREGATE LIABILITY OF NORTHWEST BARRICADE & SIGNS LLC FOR ANY CLAIM ARISING OUT OF A PRODUCT PURCHASE, RENTAL, TRAINING CLASS, OR USE OF THIS WEBSITE SHALL UNDER NO CIRCUMSTANCES EXCEED THE ACTUAL PURCHASE PRICE PAID BY THE CUSTOMER FOR THE SPECIFIC ITEM OR SERVICE GIVING RISE TO THE CLAIM.

12. Intellectual Property & Prohibited Conduct

All website text, layout, graphic designs, logos, custom traffic plan illustrations, images, and software are the exclusive intellectual property of Northwest Barricade & Signs LLC or its licensors, protected by United States copyright and trademark laws.

You agree not to scrape, crawl, reverse-engineer, mirror, harvest, or copy any website content, catalog data, or images without our express prior written authorization. You may not use this website to introduce malware, attempt unauthorized server access, or disrupt website operations.

13. Governing Law & Legal Venue

This Agreement, your use of our website, and all commercial transactions conducted through our website shall be governed by, construed, and enforced in accordance with the laws of the State of Washington, without regard to conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms, our website, or transactions shall be instituted exclusively in the state or federal courts situated in King County or Snohomish County, Washington, and you irrevocably submit to the exclusive personal jurisdiction of such courts.

14. Modifications to Terms

We reserve the right to revise or modify these Terms of Service at any time without prior notice. Any modifications become effective immediately upon posting to this page with an updated "Effective Date." Your continued use of the website or placement of orders following the posting of revised terms confirms your acceptance of the changes.
